Plain-language summary: Talkli is a platform that connects speech-language pathologists and families. SLPs are responsible for the clinical accuracy of their notes and goals. Families use it to support their child's home practice. The AI features are support tools — not clinical advice. Be honest, be kind, and don't misuse the platform.
1. Acceptance of terms
These Terms of Service ("Terms") are a legal agreement between you and Speech by Katie LLC, a Florida limited liability company doing business as Talkli ("Talkli," "we," "us," or "our"), which operates talkli.ai and related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
If you are using the Service on behalf of an organization (such as a speech therapy practice), you represent that you have authority to bind that organization to these Terms, and "you" refers to you and that organization.
2. Description of service
Talkli is a web-based platform that enables speech-language pathologists (SLPs) to document clinical sessions, set and track therapy goals, generate superbills, and communicate with their clients' families. It enables parents and legal guardians to access session notes, practice speech exercises with their children, track progress, and manage billing documentation.
Talkli is not a telehealth service and does not provide clinical diagnosis, treatment, or medical advice. It is a communication and documentation tool for use in connection with existing professional therapy relationships.
The Service is offered only in the United States.
3. Accounts
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must be at least 18 years of age to create an account. You must not create an account on behalf of a child, and children may not hold accounts on Talkli.
Parents and legal guardians create child profiles under their own account and use the Service in connection with an existing SLP relationship. Parents may, through the Service, invite their child's SLP to connect on the platform; parents do not invite other parents. SLPs may invite a parent or guardian to connect to them through the Service.
You agree to notify us immediately at support@talkli.ai if you become aware of any unauthorized use of your account.
4. SLP obligations
If you register as a speech-language pathologist, you represent and warrant that:
- You hold a valid, current license to practice speech-language pathology in the state(s) where you provide services
- You will use reasonable professional judgment to ensure that clinical notes, goals, and session documentation you create on the platform are accurate and appropriate, consistent with applicable professional standards
- You have obtained appropriate consent from families before creating child profiles and sharing documentation through Talkli
- You will comply with all applicable laws and professional ethics standards, including HIPAA where applicable
- You will not use Talkli to practice in jurisdictions where you are not licensed
Talkli provides documentation tools; it does not supervise clinical practice. SLPs are solely responsible for the clinical accuracy and appropriateness of all content they create on the platform.
5. Parent and family obligations
If you register as a parent or legal guardian, you represent and warrant that:
- You are the parent or legal guardian of the children whose profiles you create or manage
- You will use practice features and home-guidance content only in connection with your child's existing professional therapy relationship
- Your child will use any child-facing features only under your direct supervision or that of a licensed SLP
- You understand that Talkli is a support tool and not a substitute for professional speech-language pathology services
6. Content and data
You retain ownership of all content you submit to Talkli, including clinical notes, goals, and session data ("Your Content"). By submitting content, you grant Talkli a worldwide, non-exclusive, royalty-free license to host, store, cache, reproduce, display, transmit, reformat, back up, and otherwise process Your Content solely to the extent necessary to:
- Provide, operate, maintain, and secure the Service for you;
- Deliver Your Content to the other users you are connected to on the platform (for example, delivering a session note published by an SLP to the linked family);
- Format and display Your Content across different devices and browsers;
- Create and maintain backups and disaster-recovery copies;
- Transmit Your Content to our service providers and subprocessors listed in our Privacy Policy (including, where you use AI features, our third-party AI model provider) to the extent necessary to provide their services to us; and
- Investigate suspected violations of these Terms or applicable law.
The license granted in this section ends when Your Content is deleted from the Service, except to the extent Your Content has been (a) shared with another user who retains their own copy in accordance with these Terms, (b) retained in backups for a limited period consistent with our standard retention schedule, or (c) retained by an SLP for professional record-keeping purposes as described in our Privacy Policy.
You agree not to submit content that is unlawful, defamatory, inaccurate, or that violates the rights of others.
We may use aggregated and de-identified data derived from your use of the Service to operate, improve, and develop the platform. We will not identify you personally in such uses. Where the Service processes Protected Health Information, de-identification is performed using the HIPAA Safe Harbor method under 45 CFR § 164.514(b)(2).
7. AI-powered features
Talkli includes AI-powered features, including practice content generation and a parent AI assistant ("AI Features"). These features are powered by third-party AI models.
Important limitations: AI Features are designed to support — not replace — professional clinical judgment. AI-generated practice content should be reviewed by the treating SLP for clinical appropriateness. AI responses to parent questions are informational only and do not constitute clinical advice, diagnosis, or treatment recommendations.
No guarantee of accuracy. AI-generated content may be incorrect, incomplete, or inappropriate. The platform does not independently verify AI outputs before displaying them to you. You are responsible for exercising independent judgment, reviewing AI output before relying on or acting on it, and consulting qualified professionals for clinical decisions.
Use of AI Features is optional; you can use the core Service without triggering AI processing. When you do use AI Features, the content you submit is transmitted to our third-party AI model provider (currently Anthropic) as described in our Privacy Policy.
8. Payment and billing
Families and parents
The core Talkli service is currently free for parents and families. We may introduce a paid tier for families who make heavy use of AI Features (for example, exceeding a monthly usage threshold for the parent AI assistant). Any such paid tier will be clearly disclosed before any charges are incurred, and the specific pricing and included usage will be stated at the point of upgrade. We will not charge families for any feature, including AI Features up to any applicable free allowance, without their express opt-in.
Speech-language pathologists
SLPs may be subject to subscription fees, which will be clearly disclosed before any charges are incurred. Free trial terms, if offered, will be stated at sign-up.
General billing terms
All fees are in US dollars. You authorize us to charge your payment method on the schedule you select. Subscription fees are non-refundable except where required by applicable law.
We reserve the right to modify pricing with at least 30 days' notice. Continued use after the effective date of a price change constitutes acceptance of the new pricing. If you do not agree to the new pricing, you may cancel before the effective date.
9. Acceptable use
You agree not to, and not to permit anyone acting through your account to, do any of the following:
- Use the Service in any way that violates any applicable federal, state, local, or international law or regulation, or any professional ethics rule applicable to you;
- Use the Service to treat patients in jurisdictions where you are not licensed (for SLPs);
- Submit false, misleading, fraudulent, or defamatory information, including in clinical notes, goals, profiles, or superbills;
- Submit or generate content that infringes any patent, trademark, trade secret, copyright, right of privacy, or other intellectual property or proprietary right of any party;
- Upload or transmit any virus, worm, malicious code, or other material designed to interfere with the operation of the Service;
- Probe, scan, or test the vulnerability of the Service or any related system or network, or breach or circumvent any security or authentication measures;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service, except to the limited extent this restriction is prohibited by applicable law;
- Use any robot, spider, scraper, or other automated means to access the Service, except for normal web-browser or search-engine indexing activity;
- Copy, frame, or mirror any part of the Service, or resell, sublicense, or redistribute access to the Service, without our prior written consent;
- Use the Service to send unsolicited messages or bulk communications;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Use the AI Features to generate content that is harmful to minors, hateful, harassing, sexually explicit, or otherwise inappropriate for the therapeutic context;
- Interfere with or disrupt the integrity or performance of the Service or the data it contains, or attempt to gain unauthorized access to any portion of the Service or any data it contains; or
- Encourage or enable any other individual to do any of the foregoing.
We may investigate suspected violations of this section and take any action we consider appropriate, including suspending or terminating accounts and reporting to law enforcement.
10. Intellectual property
Except for Your Content, all right, title, and interest in and to the Service — including the Talkli platform, website, software, source code, database schema, design, user interface, logos, trademarks, trade dress, "Talkli" and "Speech by Katie" names, and all related intellectual property rights — is and remains the exclusive property of Speech by Katie LLC and its licensors. Nothing in these Terms transfers any ownership interest in the Service or related intellectual property to you.
Subject to your compliance with these Terms, Speech by Katie LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended purpose. All rights not expressly granted to you are reserved.
You may not use the "Talkli" name, logo, or other trademarks without our prior written permission. Any feedback, suggestions, or ideas you submit about the Service may be used by us without obligation to you.
11. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Speech by Katie LLC, its affiliates, and their respective officers, directors, employees, contractors, and agents (each, an "Indemnified Party") from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your access to or use of the Service;
- Your violation of these Terms, including the Acceptable Use section above;
- Your violation of any applicable law or regulation, or any professional licensing or ethics rule applicable to you;
- Your Content, including any claim that Your Content infringes or violates the rights of a third party;
- For SLPs: any claim arising from your clinical services, your clinical judgment, the accuracy or appropriateness of clinical documentation you create, your handling of Protected Health Information outside of Talkli's role as a Business Associate, your billing practices (including superbills generated through Talkli), or your failure to obtain required patient consents or authorizations; and
- For parents and guardians: any claim arising from your failure to have the legal authority to create or manage a child's profile, or your use of the Service otherwise than in connection with an existing professional therapy relationship.
We will promptly notify you of any claim subject to indemnification and may, at our option, assume the exclusive defense and control of the matter. You will cooperate reasonably with our defense and will not settle any claim in a manner that admits liability on behalf of an Indemnified Party or imposes non-monetary obligations on us without our prior written consent.
12. Termination
You may close your account at any time by contacting support@talkli.ai. Account closure and associated data handling are governed by the Data Retention section of our Privacy Policy, which explains how parent-initiated closures and SLP record-keeping obligations are reconciled, and how a parent or legal guardian can submit a written request for complete data removal.
We may suspend or terminate your access to the Service if you violate these Terms (including the Acceptable Use section), engage in fraudulent activity, or if we are required to do so by law. We will provide notice where practicable.
Upon termination, your right to use the Service ceases. Provisions of these Terms that by their nature should survive termination will do so, including Sections 6 (Content and data, with respect to Your Content that persists in the Service in accordance with the Privacy Policy), 7 (AI features, as to past output), 10 (Intellectual property), 11 (Indemnification), 13 (Disclaimers), 14 (Limitation of liability), 15 (Governing law), and 18 (General provisions).
13. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that defects will be corrected.
Talkli is not a medical device, healthcare provider, or clinical service. Nothing on the platform constitutes medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare professional regarding any health concerns. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
14. Limitation of liability
To the maximum extent permitted by applicable law, in no event will Speech by Katie LLC or its officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.
Except where prohibited by applicable law, our total cumulative liability to you for any and all claims arising from or related to the Service or these Terms will not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) $100.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
15. Governing law and venue
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law principles. Subject to applicable law, any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to the personal jurisdiction of those courts, to the extent permitted by applicable law. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
16. Force majeure
Neither party will be liable for any failure or delay in performance under these Terms (other than an obligation to pay fees when due) to the extent caused by circumstances beyond that party's reasonable control, including acts of God, natural disasters, pandemics or public-health emergencies, war, terrorism, civil unrest, labor disputes, government orders, failures of utilities or common carriers, failures of public or private telecommunications networks, failures of third-party cloud-infrastructure providers not caused by us, or cyber-attacks. The affected party will use reasonable efforts to mitigate the impact of the event and resume performance as soon as reasonably practicable.
17. Assignment
You may not assign, transfer, or delegate these Terms or any of your rights or obligations under them, in whole or in part, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this section is void. We may assign or transfer these Terms, in whole or in part, without your consent, including in connection with a merger, acquisition, reorganization, financing, or sale of all or substantially all of our assets. These Terms bind and benefit each party's permitted successors and assigns.
18. General provisions
Entire agreement
These Terms, together with our Privacy Policy and, where applicable, any Business Associate Agreement or separate written agreement between you and us, constitute the entire agreement between you and Speech by Katie LLC regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if that is not possible, will be severed from these Terms. The remaining provisions will continue in full force and effect.
No waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. No waiver of any term will be deemed a further or continuing waiver of that term or any other term.
No agency
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Speech by Katie LLC.

We may provide notices to you by email to the address associated with your account or by posting a notice in the Service. You may provide notices to us at support@talkli.ai.
Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
19. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or via a prominent notice in the app at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.
